Basic License

 

FROM: Jed Demlow Productions (“Producer”)

 

TO: CLIENT NAME HERE (“Artist”)

 

DATE OF AGREEMENT: ORDER DATE HERE

 

1. In return for payment of the fee, the producer ( Jed Demlow Productions) grants a non-exclusive license to the artist to use the chosen musical work named "BEAT NAME HERE" (referred to here as “beat”) to create one (1) new recording (“the track”).

 

2.   The artist shall have the right to commercially release the track by any and all means subject to these terms.

 

3.   This license is for a term of unlimited years from the date of this agreement

 

4.   This license is limited to the following thresholds:

 

100,000 for-profit downloads or physical sales of the track

 

100,000 for profit audio and video streams

 

Unlimited free internet downloads for non-profit and non-commercial use

 

Unlimited for-profit public performances of the track

 

Unlimited non-profit public performances of the track

 

Unlimited music videos for the track

 

5.  Once any of the limits have been reached  the artist will be required to upgrade their license. To upgrade a license email at jed@jedemlowproductions.com

 

6.   The artist is not required to pay the producer any royalties from the track. 

 

7.   The artist acknowledges that the producer owns the copyrights to the beat.

 

8.   You may pitch, submit or permit the pitching or submission of the track on terrestrial, satellite, or internet radio (e.g., over-the-air radio, Sirius XM, Pandora, etc.)

 

9.   No ContentID Registration. You may not register or permit the registration of the track with any content identification system or service (for example without limitation, with YouTube's ContentID, whether directly or through a third party such as CDBaby or TuneCore). This is a non-exclusive license agreement, and the beat may have been or may yet be licensed to third parties for their own use; if any licensed users of the beat tried to register their derivative songs, the content identification system might improperly flag all other users of the beat as infringing uses. Jed Demlow Productions reserves the sole right to register or permit the registration of the beat or any work derivative of the beat with content identification systems and services.

 

10.  The artist agrees to ensure that the producer is credited on any metadata and or packaging or promotion of     the track as follows [Produced by Jed Demlow Productions]

 

11. The artist acknowledges that the payment for this license is non refundable. Any termination of this license will void this agreement.

 

12.  This license constitutes the entire agreement between the parties.
